1. Definitions
a) The ‘Seller’ is AndeeKnits.
b) The ‘Buyer’ is the organisation, firm company
or persons placing an order with AndeeKnits.
c) The ‘Goods’ are all finished goods, parts
of materials which are specified by the Buyers order and
are supplied to the Buyer under these terms & conditions
of sale.
d) The ‘Services’ are all supplied labour
either direct or subcontracted as specified in the purchase
order and supplied under these terms & conditions
of sale.
e) The ‘Contract’ is the contract formed by
the Sellers acceptance of the Buyer’s order.
2. Formation of Contract
a) There shall be no binding contract between the Seller
and the Buyer until the Seller accepts the Buyers order
either by issuing a delivery note for the Goods &
Services or by raising and issuing an order confirmation.
b) All orders are accepted subject to the Sellers’
terms & conditions of sale and no terms & conditions
of sale submitted by the Buyer shall be binding on the
Seller unless accepted by the Seller in writing.
c) These terms & conditions shall apply to each
individual order raised by the Buyer and any waiver
or act of non-enforcement shall not prejudice the Seller
in relation to any other order that may be placed or
in progress.
3. Prices
a) Unless otherwise specified prices are for delivery
at the Sellers works and exclude all taxes, delivery,
handling and insurance.
b) The Seller reserves the right to increase, without
notice, quoted prices after the date of the Sellers
acceptance of an order to cover;
(i) Price increases by Suppliers to the Seller. In this
instance the Buyer has the option to cancel the order
without penalty.
(ii) Extra costs incurred as a result of a cancellation,
alteration or rescheduling of orders due to the Buyer’s
instructions of lack of instructions.
(iii) Fluctuations in currency exchange rates and importation
duties and taxes which increase the cost to the seller
of the Goods imported into the United Kingdom for resale
to the Buyer.
4. Risk
a) Not withstanding any provision herein contained the
Seller shall not be liable for any loss or damage of
any nature to the Goods after the same shall have been
delivered or passed to the Buyer or the Buyers agent.
5. Payments
a) Unless otherwise expressly agreed in writing by the
Seller prior to order of the Goods, payment must be
made within 5 working days of the invoice receipt.
b) Without prejudice to any other right of the Seller,
any overdue payment will entitle the seller to cancel
the contract with the buyer.
c) Payment is accepted in UK Pounds Sterling only. Payment
methods accepted are Credit / Debit Cards, Paypal &
Cash on Collection (U.K. Customers Only).
6. Retention of Title
a) The Seller shall retain full title to the Goods until
full payment has been received in respect of the supply
of the Goods to the Buyer (see section 5 for payment
terms).
7. Shipping
a) All shipping times are quoted in good faith but time
shall not be deemed to be of the essence. The Seller
shall not be liable for any direct, indirect or consequential
loss or damage resulting from late delivery of Goods.
The Buyer shall not be entitled to treat the contract
as repudiated by reason of late delivery.
b) Any claim for damaged Goods or short delivery must
be made within two days of receipt of the Goods in writing.
c) It is the responsibility of the Buyer or the Buyers’
representative to check the packaging for damage and
if damage is found to sign the courier receipt as “DAMAGED”.
Claims can not be accepted for goods signed as “Received
in Good Condition”.
d) All packaging must be retained for claim purposes.
e) Import Duties and costs where applicable, are
not included in the shipping costs and are at the
Buyers’ expense.
8. Warranty
Reconditioned Goods
a) A 90 day Return to Base Warranty unless otherwise
stated, is Applicable to Reconditioned Goods.
b) The following general exclusions apply:
(i) Customer misuse.
(II) Accidental damage.
(III) Transit/courier damage (please see shipping).
(iv) Incorrect voltage of power supply used.
(v) Abnormal environmental operating conditions
(vi) Modification to the unit or inexpert/attempted
repair.
(vii) No fault found – where no fault can be found
after extensive testing, indicating user error or failure
of ancillary equipment.
(viii) Damage/failure caused from failure to observe
the correct maintenance procedures, as defined within
the user manual.
c) Should any of the above exclusions apply, AndeeKnits
reserve the right to raise any relevant charges to the
customer.
d) AndeeKnits reserve the right to nominate an approved
third party to effect repair, if necessary.
e) The customer will ensure that the defected unit will
be correctly boxed in original packaging or a suitably
protective alternative. No liability is accepted for
loss of use or consequential damage. Transit damage
caused by inadequate packaging is the liability of the
sender.
f) All Return Shipping Costs are at the expense of the
Buyer.
Silver Reed New Goods
a) The Silver Knitting Machines LTD 1 Year Manufacturers
Guarantee is applicable to New Silver Reed Goods.
9. Returns – Cancellation of Order
a) In accordance with U.K. Distance Selling Law,
you have the right to cancel your order within 7
working days of receipt of goods.
b) Goods must be unopened, unused and returned in
the original packaging within 14 days of receipt.
c) If you wish to return your item, you must contact
us in writing and request a returns authorization
before returning the goods.
d) Upon return, all goods will be inspected.
e) Refund of the cost of goods will be issued within
7 days by the original payment method only.
f ) Shipping costs are at the expense of the Buyer
and will not be refunded.
10. Returns - Faulty Goods
a) Faulty Goods must be returned within 7 working days
of receipt.
b) Goods must be returned in the original packaging.
c) Goods will be inspected upon return and full refund
including shipping costs issued within 30 days by the
original payment method.

11. Law
a) All contracts shall be subject to and construed in
accordance with the laws of England and in all respects
as an English contract subject to the jurisdiction of
the English courts.
b) The Buyer agrees to submit to the non-exclusive jurisdiction
of the English courts.
